What Is Shadow AI?
Shadow AI is the use of AI systems, features, models, or services within an organization that operate outside formal governance visibility - sometimes because they are turned on or built without transparency, and often because people don’t realize those features count as AI in the first place.

Enterprises today aren't monolithic. They are patchworks of cloud services, on-premises systems, and hybrid setups where AI hides in plain sight, rarely labelled as such. Shadow AI is not caused by irresponsibility. It is caused by incentives and velocity. Teams need to move fast, vendors embed AI into standard features, and procurement approves tools without triggering AI review thresholds.
SaaS Platforms with Embedded AI
This is the largest source of shadow AI in most organizations. For example, Salesforce/HubSpot uses AI for lead and opportunity scoring. Workday screens resume or match candidate skills. Microsoft 365 Copilot drafts emails and summarizes meetings. These features activate via simple toggles in admin consoles, and teams enable them without realizing they've just deployed an AI system. We see procurement teams approve SaaS renewals without scrutinizing vendor release notes, only to discover later that an 'AI-enhanced' search function is now processing sensitive customer data. AI isn't marketed as AI. It's marketed as intelligent automation, a feature upgrade, or enhanced functionality.
Productivity Tools and Copilots
GitHub Copilot, Grammarly's advanced suggestions, or Notion AI have AI models that analyze documents and internal communications. In regulated industries, this creates blind spots. Imagine a legal team using an AI-powered contract reviewer trained on public data, potentially leaking proprietary clauses through inference attacks, or a development team using code completion tools that expose intellectual property. These tools sit inside your enterprise environment,often enabled by default in enterprise licenses. Enterprise versions typically offer better data handling than consumer versions, with features such as data residency, training controls, and contractual protection. However, the core risks of ungoverned AI usage remain. Your data is still being sent to a third-party service, staff may paste sensitive information into prompts, and the tool’s suggestions can still introduce errors, bias, or security issues.
API Sprawl and Vendor Intelligence
Development teams integrate third-party APIs for payment processing, identity verification, fraud detection, document parsing, and sentiment analysis. Vendors like Stripe or specialized services offer 'AI-enabled' endpoints called via simple API calls. Developers integrate them into applications without flagging them as AI systems, leading to unchecked dependencies. In one client engagement, we traced API calls to over 20 external AI services, many of which were undocumented because they were seen as 'just APIs’. What both developers and GRC miss is that these are AI systems making decisions about your customers, transactions, or data, often in real-time with varying levels of explainability and control.
Internal Experimentation
Data scientists create quick prototypes to churn prediction, demand forecasting, and risk scoring. IT deploys anomaly detection for security monitoring. These systems start as experiments, transition into production quietly, and remain undocumented because they were not deployed through formal change management.
Embedded Decision Support Layer
Most organizations hunt for fully automated AI, missing the larger category: AI that doesn't automate decisions but heavily influences them. For example, credit scoring models are used as inputs to underwriting. Similarly, recommendation engines shape what products customers see. These systems do not make final decisions, but they shape outcomes. Under emerging regulations like the EU AI Act or New York City's hiring law, many of these qualify as high-risk AI regardless of automation level.

The solution is not eliminating oversight; it is tiering it proportionally. Low-risk systems get fast-track approval with minimal documentation. Medium-risk systems get a structured review. High-risk systems get comprehensive governance. When teams see that governance moves at the speed of risk, resistance drops.
Lack of Clarity on What Counts as AI
Most business users cannot define AI. They do not know whether their CRM's 'smart routing' qualifies as AI. Teams need to provide clear, operational definitions with examples. Create appendices in policies showing what is in scope: If the tool makes suggestions, predictions, or decisions that aren’t the same every time, like recommending different products to different customers or scoring leads differently based on patterns, it’s likely AI and should be in scope. Use plain language examples in training and policies so people can see themselves in the scenarios.

By the time governance catches up, the landscape has shifted. This requires governance to become more agile and embedded in operational workflows.
3. Shadow AI Detection:Techniques That Cut Through the Noise
Surveys asking teams to self-report AI usage are a start, but they fail spectacularly in practice. Response rates hover around 40%. Staff underreport out of fear or ignorance. Effective discovery requires a multi-layered approach that combines technical detection, vendor analysis, and organizational integration points. These techniques work because they leverage existing data flows and systems.
Define What Counts as AI (Operationally)
Before you can discover AI, you need a working definition that teams can apply. Here is one that works:
Any system, tool, or feature that processes an organization's data and predicts, recommends, generates content, classifies information, reviews or summarizes documents, or learns and adapts over time belongs in our AI inventory. This includes writing assistants, meeting summarizers, lead scoring systems, fraud detection tools, resume screeners, code generators, and other tools that use AI to analyze or act on organizational data. When in doubt, include it. The inventory is for visibility, not restriction.

Contract and Vendor Analysis
Start with your key vendors rather than trying to review everything at once. For each important tool or platform, look at the contract or MSA, Data Processing Agreements (DPAs), product pages, and “what’s new” or release notes. Search for simple keywords: machine learning, artificial intelligence, predictive analytics, automated decision-making, algorithmic processing, neural networks, AI-powered.
In smaller organizations without a formal procurement team, this can be as simple as the business owner spending some time once or twice a year reviewing the main vendors they rely on. In larger organizations, you can automate parts of this by using contract management tools to flag AI-related terms.
AI features are often added after the contract is signed. To catch these, subscribe to vendor update emails, review admin dashboards for newly enabled "smart" features or AI capabilities, and build a quick annual or semi-annual check-in into your third-party risk process. If you discover AI features already running, don't immediately disable them. Rather, assess whether the business depends on them. If teams are actively using the feature, bring it from shadow into managed: add it to your AI inventory, fast-track risk assessment, limit access, retention and data training on organizational data, assign an owner, confirm a data processing agreement exists, and require the vendor to notify you of future AI changes. If the feature is unused or poses unacceptable risk, disable it and invoke your contractual rights to request data deletion and clarification on what was processed. Late discovery is not ideal, but it is recoverable. The goal is to make informed decisions about continuing, mitigating, or discontinuing, and not disrupting business operations.
Access Logs and API Usage Patterns
Your cloud infrastructure logs API calls. Monitor cloud consoles such as AWS CloudTrail, Azure Monitor, Google Cloud Logging, for ML service calls to Google Vertex AI, Azure Cognitive Services, or OpenAI endpoints. Look for integration patterns, recurring calls to external ML endpoints, and data transformation pipelines feeding prediction models.
Identity signals from Active Directory reveal who is accessing AI tools. If you have a security operations center (SOC), include AI providers in the list of destinations to monitor data leak risks. If you are a smaller company without a SOC, work with your IT team or managed service provider to review firewall logs and cloud console activity. Even basic monitoring can reveal unexpected connections to AI services.
SDLC and Procurement Integration Points
In the software development life cycle (SDLC), add a simple AI question to change requests or feature templates, such as: “Does this change introduce or use AI (e.g., predictions, recommendations, content generation, or automated decisions)?” In procurement or vendor onboarding, include a similar question on intake forms and ask vendors to explain any AI features in plain language.
For product launches, ask teams to briefly note whether AI is involved and what data it will use. This can be as simple as a checkbox with one or two short text fields. Its job is to alert the right privacy, security, or risk people, so they can take a closer look where needed. You are not asking teams to become governance experts, rather you are asking them to surface the right information at decision points they already navigate. This shifts you from reactive discovery to proactive prevention.
4. Engineering AI Inventory as a Living Capability
An AI inventory is not just a static spreadsheet. It is a living governance system integrated into operational rhythms through automation and update triggers.

Pilot discovery in one business unit. Small success will build into organization-wide success. You can showcase reduced vendor risks, closed compliance gaps, gain operational clarity and build momentum through evidence.
Provide self-service tools and clarity.
Build simple intake forms, decision trees, and FAQs. If teams can self-assess risk classification and understand approval timelines, governance becomes a partnership, not a gate. Reduce the cognitive burden of compliance.
